Academic Software License: 2024 Quandary Peak Research (“Company”)

1. License Grant: So long as you are an academic or nonprofit researcher, Company hereby grants to you free-of-charge a nonexclusive license to use, copy, and make derivative works of this software and associated documentation files and any derivative works made by you thereof (collectively, the “Software”), solely for educational or academic research purposes, subject to the terms of this Academic Software License. All rights are reserved by Company under the Company’s copyright ownership interest in the Software.

2. Restrictions: You are prohibited from transferring or distributing the Software—including any derivatives you make thereof—to any person or entity. If you wish to make available to others those derivative works of the Software made by you, you may submit your derivatives to the Company for consideration for inclusion in the Simian GitHub repository. To submit your derivatives for inclusion in the Simian GitHub repository, you must grant the Company an unlimited, non-exclusive, worldwide, royalty-free, perpetual license to deal in those derivative works without restriction, including without limitation on the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of those derivative works.

3. Publicity Requirement: Any academic or scholarly publication arising from use of the Software or any derivative works thereof must include the following acknowledgment: The Software used in this research was created by Simon Harris and Quandary Peak Research. © 2023–2024 Quandary Peak Research.

4. License Termination: Failure by you to adhere to the requirements in Paragraphs 1, 2 and 3 will result in immediate termination of the license granted to you pursuant to this Academic Software License effective as of the date you first used the Software.

5. Changes to License Terms: Company reserves the right to modify the terms and conditions of this License at any time. Such modifications shall be effective immediately upon notification to you. Your continued use of the Software following any such modifications constitutes your acceptance of these new terms.

6. Limitation of Liability and Warranty Disclaimer: IN NO EVENT SHALL COMPANY BE LIABLE TO ANY ENTITY OR PERSON FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF THE USE OF THIS SOFTWARE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
